1. Application of these terms and conditions
These terms and conditions apply to the sale of motorcycle protection products and accessories (“Products”) by AXP Racing SARL, a French limited liability company (“AXP-Racing”) to customers (‘BUYER’ or “BUYERS”) ordering the products for use worldwide, except in France. The term “Customer,” as used herein, refers to the distributor, reseller, and customer, original equipment manufacturer, or first end user who purchases the Products. All other terms and conditions, including the BUYER's own terms and conditions of purchase, shall not be considered, whether or not they are mentioned when ordering. No modification of these terms and conditions shall be binding on AXP-Racing unless agreed to in writing and signed by an agent or other authorized representative of AXP-Racing.
2. Competent buyers
Each PURCHASER is deemed to be sufficiently competent to master the use of the Products. Each PURCHASER is solely responsible for determining its own needs and must ensure that it has the right equipment and a suitable environment to use the Products. More specifically, AXP-R has no obligation to explain to the PURCHASER how to use the Products, or to do anything other than deliver the products. The BUYER is responsible for complying with national and international laws and regulations governing the shipment, storage, handling, and trade of the Products. AXP-R makes no representation that its Products comply with any state or regional laws, regulations, codes, or standards, and does not warrant against damage to the Product resulting from failure to comply with such laws and regulations.
However, notwithstanding anything to the contrary in these Terms and Conditions, in the event that the BUYER is a consumer, the provisions relating to the right of withdrawal under Article 121-21 of the French Consumer Code shall apply, and the BUYER shall have the right to cancel the order within 14 days of receipt of the Products, provided that the BUYER pays the return shipping costs, using the original packaging and with the Products in perfect condition. Once the Products have been returned, AXP-R shall reimburse the BUYER within 10 days. However, the right of withdrawal does not apply to custom-made products.
3. Price and payment terms
Prices are EXW AXP-R in COMINES (FRANCE) in accordance with Incoterms 2010.
When quoted on documents such as circulars, letters, catalogs, or estimates that have not yet been accepted, prices are not final. The catalog price does not include shipping or handling costs, but will include VAT at the French rate. VAT must be included in purchase orders and the final invoice in all relevant cases.
AXP-R reserves the right to modify its price list at any time without notice or justification (for example, in the event that the prices of materials incorporated into the goods increase before delivery of these products by AXP-R, the latter may, without notice or justification, adjust the prices by written notification to the BUYER; these adjustments must be made in accordance with a formula, determined solely by AXP-R, designed to pass on the increased cost of these materials).
Invoicing is in euros at the price applicable on the date of receipt of the BUYER's order (including orders by email), provided that delivery is within one month of receipt of the BUYER's written order.

All prices are exclusive of VAT, sales tax, or any other applicable tax or duty, and the customer shall be responsible for these.
AXP-R determines the means of payment (PayPal, Payzen, credit card, bank transfer, other).
Special conditions may apply to wholesalers on a volume basis. Payments, if made by letters of credit (irrevocable and confirmed), must have a bank address.

Failure to pay any project or installment by the due date means that all previously uncreated debts become due at once.
In such a case, any further deliveries will be made only against cash on delivery. Any late payment shall bear interest at the monthly rate of 1.5%.
